Juan Carlos López Villarreal Chairman

Chairman of the Board of Directors of GIS since October 23, 2014, he has also held the position of Chairman of the Board of Directors of Coparmex Coahuila Southeast since March 2012; He is Vice President of the National Coparmex Education Commission and President of the Coahuila Southeast University-Business Linkage Council. Since July 2008, he has been President of the Council of the Tecnológico de Monterrey, Campus Saltillo. He is also Chairman of the Board of Vive Energía and Member of the Board of Directors of Lorean Energy Group since 2012.

From 1992 to 2001, he held various positions within GIS until reaching the Presidency of the Board and General Management in May 2003, a position he held for 5 years; he was also a Technocast Council Member. From June 2004 to July 2007 he was President of the Mexican Council for Foreign Trade (COMCE NORESTE) and President of the Council of the Business Alliance for Secure Commerce (BASC) Mexico. He has been part of the Regional Council of Banco de México since 2013.

Luis Arizpe Jiménez Independent

Vice Chairman of the Board of Directors of Arca Continental, Chairman of the Board of Saltillo Kapital, BIRARMA Real Estate, Compañía Hotelera del Norte (Camino Real Saltillo), and Inversiones del Norte. Member of the Council of Tecnológico de Monterrey, Campus Saltillo; of the Advisory Council of Grupo Financiero Banorte, North Zone; President of the Civic Council and Institutions of Coahuila (CCIC); President of the Mexican Red Cross, Saltillo delegation; President of the Tithing Committee of the Diocese of Saltillo; and, Vice President of COPARMEX Coahuila southeast.

Fernando Chico Pardo Independent

Fernando Chico Pardo is a Mexican businessman who began his career on Wall Street and later founded Acciones y Asesoría Bursátil, a brokerage firm of which he was founding partner and CEO until 1992. That same year, the brokerage firm merged with Inbursa and Fernando Chico Pardo assumed the role of CEO of Inbursa until 1997. In 1997 he founded Promecap, a leading private equity firm in Mexico that manages assets of MX 5,000 million dollars, of which he is President and CEO. He is a controlling shareholder in ASUR (airports), RLH Properties and Tortuga (hotels), and the largest individual shareholder of Carrix (port operations). He is Chairman of the Board of Directors of ASUR and a member of the Board of Directors of Carrix, as well as of that of several Mexican companies such as Grupo Carso, Grupo Industrial Saltillo and GEPP. Fernando Chico Pardo holds a degree in Business Administration from the Universidad Iberoamericana in Mexico City and an MBA from the Kellogg School of Management at Northwestern University. He is a philanthropist and active leader in various non-profit organizations dedicated to health, education, journalism, environment, arts and culture.

Alejandro Dávila López Patrimonial

Member of the Board of Directors of Christus Muguerza Saltillo since 1996, Treasurer, for a period of 2 years, and actual member of the board of directors of the Property Chamber of the Southeast Region since 1999. Member of the pro-construction Board of the Major Seminary of Coahuila. Graduated in Business Administration, he has an MBA from the Pan-American Institute of Senior Business Management (IPADE).

Pedro Alonso Agüera Independent

Founder of the Infun Group, Director and Member of the Board of Directors of the Spanish Society of Manufacturers of Equipment and Components for the Automotive Industry. He has studied Technical Mechanical Engineering, has an Industrial Master 's Degree and a Diploma in Business Administration and Management from ESADE.

Lorena Cárdenas Costas Independent

CFO with more than 25 years of professional experience, 15 years in the Mexican financial system; particularly in companies dedicated to granting loans. In recent years, Lorena has participated as an independent director of GIS, Crédito Real and SICREA in Mexico, Credivalores in Colombia. She has also served as an advisor for two start-up companies in the FinTech field. Previously, Lorena held the position of Director of Finance at Crédito Real, where she was key in carrying out the Initial Public Offering and in expanding sources of financing, development and implementation of growth strategies and corporate practices. Likewise, during 2007 she held the position of CFO for Latin America at GMAC (today Ally Bank) and her professional career began in the manufacturing center of Nortel Networks to later collaborate in the offices of Latin America and finally occupy the position of CFO for Nortel Networks.

Roberto Cabello Elizondo Patrimonial

President of COPARMEX Coahuila Southeast, ICE Inmobiliaria, COLIBRI Capital, and Quinta Real Saltillo; Advisor to VALUE Grupo Financiero, Tecnológico de Monterrey Campus Saltillo, Civic Council of Coahuila Institutions, State Commission for Higher Education Planning (COEPES), Citizen Oversight Council of Saltillo, and Lorean Energy Group.

Claudia Jáñez Sánchez Independent

President of DuPont Latin America and President of the Executive Council of Global Companies in Mexico.

Ernesto López De Nigris Independent

Member of the Board of Directors of GIS, a company where he also served as Co-Chairman of the Board of Directors and Operations, he is a member of the Board of Directors of Arca Continental, a member of the Consultative Council of Teléfonos de México and Vice President of Canacintra de Saltillo.

Manuel Rivera Garza Independent

Manuel Rivera was GIS General Director until 2022. He has held different positions in the Staff of multi-industry companies and was General Director of a global company in the auto parts industry. He has an engineering degree from ITESM and a master 's degree from Stanford University.

Ricardo E. Saldivar Escajadillo Independent

During eighteen years until June 2017, he served as President and CEO of The Home Depot in Mexico, time in which he expanded the business from 4 to 120 stores, establishing a presence in all 32 states and 90 cities across the country, with a team of over 15,000 associates. Prior to this, he served for over 20 years at Grupo ALFA. He holds a Bachelor's degree in Mechanical Administration Engineering from the Monterrey Institute of Technology and Higher Education (ITESM) and a Master's degree in Systems Engineering from Georgia Tech. Additionally, he completed an Executive Business Management program at IPADE. He currently serves as Chairman of the Board of Directors at the Monterrey Institute of Technology and Higher Education (ITESM).

Jean de Montlaur Independent

Nearly 40 years of experience in the automotive parts market, holding executive positions in industry-leading companies such as Valeo, Meritor Automotive, Visteon Corporation, and Akebono, among others. Holds an Executive Master’s Degree in Business Administration from the Institut Européen d’Administration des Affaires.

Leopoldo Cedillo Villarreal Independent

He has nearly 30 years of experience in the industrial, automotive, agribusiness, and healthcare sectors. He has served as CEO of leading companies such as Metalsa and Grupo Proeza, where he led a period of strong expansion and consolidated their global leadership, driving transformation and growth in these organizations. He holds a degree in Public Accounting from the Instituto Tecnológico y de Estudios Superiores de Monterrey, with postgraduate studies at Stanford University and executive education at Singularity University, Harvard University, and the Kellogg School of Management.

Carlos Ramos Espinosa Independent

He has more than 25 years of experience in the automotive, industrial products, and energy industries. He has led operations across North America, Europe, and Asia, with a focus on business transformation, M&A, and operational excellence. He holds a Master of Science from Tecnológico de Monterrey and has completed executive education programs at Stanford Graduate School of Business and IPADE.

GIS’s Board of directors has constituted two committees made up of its directors:

These committees have been founded in order to look after the shareholders’ interest and to achieve the best corporate governance practices.


Audit and Corporate Practices Committee

It is responsible for reviewing the progress and results of the internal audit program and reviewing the opinion issued by the External Auditors on the financial statements, as well as evaluating the company’s corporate governance practices.
